These draft Terms of Service govern your use of curatedboost.com and your engagement with CuratedBoost services. By using this website or engaging our services, you agree to these terms. If you do not agree with any part of these terms, please do not use this website or engage our services. These terms require formal legal and owner approval before they are treated as final terms.

1. About CuratedBoost

CuratedBoost provides services as set out in the applicable proposal or engagement agreement. The legal identity of the service provider and the terms governing a client engagement must be confirmed in that agreement before these draft terms are formally approved.

2. Website Use

Permitted use.

You may use curatedboost.com for lawful purposes only — to learn about our services, make inquiries, and access published content.

Prohibited use.

You may not use this website to:

  • Violate any applicable law or regulation
  • Transmit harmful, offensive, or misleading content
  • Attempt to gain unauthorized access to any part of the site or its systems
  • Scrape, copy, or reproduce site content without written permission
  • Impersonate any person or entity

We reserve the right to restrict or terminate access to the website for any user who violates these terms.

3. Service Engagements

All service engagements are governed by a separate written agreement — either a project proposal accepted in writing or a signed engagement agreement. These Terms of Service apply in addition to any such agreement.

Scope of work.

Services are delivered as defined in the agreed proposal or engagement document. Work outside that scope requires a written amendment agreed by both parties.

Changes to scope.

If you request changes that materially affect the timeline, deliverables, or resources required, we will discuss adjustments to scope and pricing before proceeding.

Timelines.

Project timelines are estimates based on the agreed scope and assume timely client input, feedback, and approvals. Delays caused by late responses or incomplete information from the client may extend the timeline without adjustment to the agreed fee.

4. Payment Terms

Invoicing.

Payment amounts, currency, schedule, deposits, late-payment terms, refunds, and retainer terms are specific to each engagement and must be stated in the applicable proposal or engagement agreement. These draft terms do not establish a default public payment schedule.

5. Intellectual Property

Client-owned materials.

Any materials, assets, copy, or content you provide for use in a project remain your property.

Final deliverables.

Upon receipt of full payment, ownership of final deliverables transfers to you. This includes brand assets, website files, written content, and other outputs produced specifically for your engagement.

Working files and tools.

Ownership of working files, source files, proprietary frameworks, templates, and internal tools developed by CuratedBoost remains with CuratedBoost unless explicitly agreed otherwise in writing.

Portfolio rights.

Unless you request otherwise in writing, CuratedBoost reserves the right to reference completed work in our portfolio, case studies, and promotional materials — without disclosing confidential business information.

Third-party assets.

If third-party assets (stock imagery, fonts, licensed software) are used in your project, licensing terms for those assets are your responsibility to maintain beyond the engagement.

6. Confidentiality

We treat all client information — including business details, project briefs, strategies, and materials — as confidential. We do not share this information with third parties except as necessary to deliver your project (e.g. trusted collaborators), and only under appropriate confidentiality expectations.

We ask the same in return: project-specific tools, frameworks, processes, and documentation shared with you during an engagement are for your use within the project and should not be redistributed or resold.

7. Revisions and Approvals

Revision rounds included in each engagement are specified in the project proposal. Additional revisions beyond the agreed scope will be quoted and billed separately.

Once you approve a deliverable in writing (including via email), that stage is considered complete. Changes requested after approval may constitute a scope change.

8. Client Responsibilities

To enable successful delivery, you agree to:

  • Provide accurate, complete, and timely information and materials as requested
  • Respond to questions and review requests within agreed timeframes
  • Designate a single point of contact for the engagement where possible
  • Ensure that any materials you provide do not infringe third-party rights

CuratedBoost is not liable for delays or outcomes resulting from incomplete, inaccurate, or late client input.

9. Limitation of Liability

CuratedBoost provides services with reasonable professional skill and care. However, we do not guarantee specific business outcomes — including revenue growth, search rankings, conversion rates, or other performance metrics — as these depend on factors outside our control.

  • To the maximum extent permitted by law, CuratedBoost's total liability for any claim arising from a service engagement is limited to the total fees paid for the specific engagement giving rise to the claim.
  • We are not liable for indirect, incidental, or consequential losses.

10. Termination

Either party may terminate an engagement with 14 days written notice, unless a different notice period is specified in the engagement agreement.

Upon termination:

  • Work completed to that point will be invoiced at the prorated project rate
  • The deposit is non-refundable
  • All client-owned materials will be returned
  • Final deliverables will be released upon settlement of any outstanding balance

11. Dispute Resolution

We prefer to resolve any disputes through direct, good-faith communication. If a dispute cannot be resolved informally, both parties agree to attempt mediation before pursuing formal legal action.

These terms are governed by the laws of the Republic of the Philippines. Any legal proceedings shall be conducted in the appropriate courts of the Philippines.

12. Changes to These Terms

We may update these Terms of Service from time to time. The "Last Updated" date at the top of this document will reflect any changes. Continued use of the website or services after updates constitutes acceptance of the revised terms.

Active clients will be notified of material changes that affect ongoing engagements.
